Terms governing use of the Gratebridge Compliance Dashboard.

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the Gratebridge Compliance Dashboard (the "Service") operated by Gratebridge ("Gratebridge," "we," "us," or "our").

By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and accounts

The Service is intended for businesses and professionals involved in regulated financial services, licensing, incorporation, or cross-border expansion. You must be at least 18 years old and capable of forming a binding contract.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at the contact address below if you suspect unauthorized access.

You agree to provide accurate, current, and complete registration information and to keep it updated. We may suspend or terminate accounts that contain false or misleading information.

3. The Service

The Service provides tools to help you track, organize, and manage compliance-related workflows such as licensing requirements, registrations, expansion planning, partnerships, and related documentation. Features may vary by jurisdiction and may change over time.

We may offer the Service in beta or preview form. Beta features may be incomplete, change without notice, or be withdrawn. Your use of beta features is at your own risk.

We do not guarantee that regulatory authorities will approve any application, license, or filing prepared with assistance from the Service. Outcomes depend on your circumstances, applicable law, and third-party decisions outside our control.

5. Acceptable use

You agree not to:

  • Use the Service in violation of applicable law or regulatory requirements;
  • Upload, store, or transmit unlawful, infringing, defamatory, or malicious content;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Reverse engineer, scrape, or probe the Service except as expressly permitted by law;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to process personal data you are not authorized to process;
  • Misrepresent your identity, affiliation, or regulatory status.

6. Your content and data

You retain ownership of information, documents, and other materials you submit to the Service ("Customer Content"). You grant Gratebridge a limited license to host, process, and display Customer Content solely to operate, secure, and improve the Service as described in our Privacy Policy.

You represent that you have all rights necessary to submit Customer Content and that doing so does not violate third-party rights or applicable law.

You are responsible for the accuracy of Customer Content and for maintaining your own backups where required for your business or regulatory obligations.

7. Our intellectual property

The Service, including its software, design, branding, documentation, and aggregated non-personal insights, is owned by Gratebridge or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

You may not use Gratebridge trademarks without our prior written consent.

8. Third-party services

The Service may integrate with or link to third-party tools, data sources, regulators' portals, or professional service providers. Those services are governed by their own terms and policies. We are not responsible for third-party products or acts.

9. Fees and payment

If we charge fees for the Service or specific features, we will describe applicable pricing and billing terms at the point of purchase or in a separate order form. Unless otherwise stated, fees are non-refundable except where required by law.

We may change pricing on reasonable notice for renewals or new subscriptions. Continued use after a price change constitutes acceptance where permitted by law.

10. Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use reasonable care to protect such information and will use it only for purposes related to the Service, except as required by law or with the disclosing party's consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRATEBRIDGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that information in the Service is complete or current for every jurisdiction.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRATEBRIDGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless Gratebridge from claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service in violation of these Terms or applicable law, or your regulatory activities, except to the extent caused by our gross negligence or willful misconduct.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued provision poses security or legal risk. We will use reasonable efforts to provide notice where practicable.

Upon termination, your right to access the Service ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means. The "Last updated" date at the top of this page indicates when these Terms were last revised.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance, except where prohibited by law.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory local consumer protection laws apply to you.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from these Terms, unless you are a consumer entitled to bring proceedings in your country of residence under applicable law.

Before filing a claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting us at the address below.
